1. Introduction
This Service Agreement (“Agreement”) is made and entered into between Ariyes Online (“Company” or “Ariyes Online”) and [Client Name] (“Client” or “You”). This Agreement outlines the terms and conditions governing the provision of services by Ariyes Online to the Client. By engaging Ariyes Online’s services, the Client agrees to be bound by the terms and conditions outlined in this Agreement.
2. Definitions
- “Ariyes Online,” “we,” “us,” or “our” refers to Ariyes Online.
- “Client,” “you,” or “your” refers to the individual or entity contracting for services from Ariyes Online.
- “Services” refers to the specific services provided by Ariyes Online to the Client as described in Section 3.
- “Confidential Information” refers to any information, whether written, oral, or electronic, disclosed by either party to the other party that is marked as confidential or is by its nature confidential.
3. Scope of Services
Ariyes Online will provide the Client with the following services: ERP Consulting, Implementation, modification, training, and support.
4. Client Responsibilities
The Client is responsible for:
- Providing Ariyes Online with all necessary information, materials, and cooperation required for the timely and effective delivery of the Services. - Using the Services in a lawful and ethical manner. The Client shall not use the Services for any illegal or unauthorized purpose.
5. Fees & Payment Terms
- Pricing: The total fee for the Services will be stated in the official quotation. 50% of the total fee is due upon signing of this agreement, and the remaining 50% is due upon completion of the development and before deployment.
- Payment Methods: Ariyes Online accepts the following payment methods: Bank transfer, Credit Card, PayPal.
- Billing Cycle: Monthly invoices will be sent on the 1st of each month.
- Late Fees: Payments are due within 7 days of the invoice date. Payments received after the due date will incur a late fee of 1% of the overdue amount per month, or RM200 (whichever is greater).
- Refund Policy: Partial refunds may be offered at the discretion of Ariyes Online depending on the circumstances. If a service is partially completed, a partial refund may be offered based on the percentage of completion.
6. Service Availability & Support
- Availability: Ariyes Online will make reasonable efforts to ensure the availability of the Services.
- Support: Ariyes Online will provide support to the Client during Monday to Friday, 9:00 AM to 5:00 PM GMT +8. Response times for support requests will be within 24 hours. Contact support at [email protected] / +60 13-414 1633.
7. Intellectual Property Rights
- Ownership: All intellectual property rights in any software, content, or materials created by Ariyes Online as part of the Services, including but not limited to code, designs, and documentation, shall remain the sole and exclusive property of Ariyes Online unless otherwise agreed to in writing.
- Licensing: Upon full payment for the Services, Ariyes Online grants the Client a non-exclusive license to use the deliverables solely for the Client’s internal business operations. This license does not grant the Client the right to distribute the deliverables without the prior written consent of Ariyes Online.
8. Confidentiality
Both parties agree to keep confidential all Confidential Information disclosed by the other party. This obligation shall survive the termination of this Agreement.
9. Termination & Suspension
- Termination: Either party may terminate this Agreement with 30 days written notice.
- Suspension: Ariyes Online may suspend the Services if the Client fails to make payment when due or breaches any term of this Agreement.
10. Liability & Disclaimers
- Limitation of Liability: To the fullest extent permitted by law, Ariyes Online’s liability for any claims arising out of or in connection with this Agreement shall be limited to the total fees paid by the Client under this Agreement.
- Disclaimer of Warranties: Ariyes Online provides the Services “as is” and without any warranties of any kind, express or implied.
11. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising under this Agreement shall be resolved through mediation in the courts of Malaysia.
12. Changes to the Agreement
Ariyes Online reserves the right to modify this Agreement at any time. The Client will be notified of any changes via email at least 30 days prior to the effective date of the changes.
